EDMODO REWARDS PROGRAM TERMS

The Edmodo Rewards Program (the “Program”) is brought to you by Edmodo, Inc. (“Edmodo,” “we” or “our”). Participation in the Program is subject to these terms and conditions and our general Terms of Service and Privacy Policy which are incorporated herein (collectively, these “Program Terms”). Edmodo is an education technology company providing tools and services to teachers, students and parents. All benefits and rewards offered under the Program are offered on an “as available” basis, and are provided in connection with use of Edmodo’s websites, apps and services (collectively, the “Services”).

Eligibility

In order to participate as a Program Member (defined below) in the Program, you must be 18 years of age or older, be a real, active teacher using the Services, have an Edmodo account in good standing, have verified your email address through Edmodo’s verification system, and have only one Program account (“Program Account”). You may not share memberships or have multiple memberships; however, there may be more than one Program Member in a household. Memberships cannot be merged or transferred. During the initial phases of the Program, Edmodo may make the Program available on a rolling or staggered basis such that not all individuals will become eligible for the Program at the same time. By participating in this Program, you are agreeing to these Program Terms. If you do not agree to these Program Terms, do not participate in the Program.

How to Earn Points

The Program includes two types of points. Rewards Points (“Rewards Points”) are redeemable at certain thresholds for digital or physical rewards, including digital/physical gift cards (“Chosen Rewards”). The cumulative amount of Rewards Points that a Program Member has at any given time are Total Points (“Total Points”) (Rewards Points and Total Points are collectively referred to herein as “Points”). Points have no cash value. Points are earned at the time an eligible action is taken by you. We may in our discretion limit the number of Points you may accumulate in any given period, such as in any calendar year.

Points will be assigned and determined by Edmodo to you weekly based on Edmodo’s calculation of your Edmodo account activities and your students’ class activities using the Services.  Points may be earned by you for creating a classroom in the Services and adding students, using the Services to post to the class, creating assignments and quizzes, and having your students use the Services to complete such assignments and quizzes.  

In Edmodo’s sole discretion, you may also receive Points from Referral Activities (defined below in the “Referral Program” section of these Program Terms). In addition, in Edmodo’s sole discretion, Edmodo may run promotions on occasion that request that Edmodo users perform certain tasks, challenges or actions through the Services using their Edmodo account, and may reward Program Members who perform such tasks, challenges or actions with Points.

We will update your Program Account weekly with your current Rewards Points and Total Points in the Edmodo Rewards page and will also notify you via email to the email address you have verified with your Program Account.

Points may be revoked where Edmodo believes in its discretion that Points were earned through or in connection with any fraud, abuse of the platform, or violation of these Program Terms.

Referral Program

From time to time, Edmodo may invite you to participate in one of its referral programs to encourage people to use the Services (the “Referral Activities”). In order for you to be eligible to be a referrer, you must be a Program Member, a U.S. resident, and connected to a verified school in the Edmodo program (school with a green checkmark). 

Eligible referees must be 18 years of age or older, be a U.S. resident, be a real, active teacher who has never had an Edmodo account before the referral from you, have verified his or her email address through Edmodo’s verification system, have used your referral code to sign up for an Edmodo account, have become connected to a verified school, have created only one Program Account following referral, and have taken any other actions required by the referral program. Your referees can be referred only once, so if someone else has referred them and they have accepted that invitation, they will not be able to accept yours. If you are providing Edmodo with the contact information for your referees, you represent to Edmodo that you have the right to provide that information.

Edmodo has the right to limit the number of times you may use or share your referral code. Edmodo wants you to share your referral code and earn Points, but referral codes must be used only for personal and non-commercial purposes. This means that you can share your referral code only with people you know. You agree that you will not:

  1. Duplicate, sell, or transfer your referral code in any manner or make it available to the general public;
  2. Try to get referees by spamming, bulk emailing, or sending large numbers of unsolicited emails. The only people you should be emailing are people you know personally;
  3. Use, display, or manipulate Edmodo intellectual property (such as Edmodo’s logos, trademarks, and copyright-protected works) in any way, except as to identify yourself as an Edmodo user or Edmodo referrer;
  4. Create or register any (i) businesses, (ii) URLs, (iii) domain names, (iv) software application names or titles, or (v) social media handles or profiles that include the word “Edmodo” or any of Edmodo’s other trademarks or any words that are confusingly similar to Edmodo’s trademarks.
  5. Use Edmodo’s trademarks as your social media profile picture or wallpaper or use any of Edmodo’s copyright-protected works (such as graphics, photos, images, drawings, and screenshots from Edmodo’s website or app) without Edmodo’s express written permission;
  6. Purchase keywords (including but not limited to Google AdWords) that contain any of Edmodo’s trademarks;
  7. Use automated systems or bots through any channel to distribute, post, or otherwise share your referral code;
  8. Use scripts or programmed or automatic dialers to send invites or otherwise share your referral code;
  9. Make misleading claims about Edmodo, use offensive/abusive content, create fake websites/webpages/social media profiles/apps, misrepresent your connection to Edmodo, or otherwise make any false or misleading statements to get a referee to use your code; or
  10. Use your referral code in any manner that violates the law or the rights of anyone else.

Remember, when you share your referral code or unique link, you should explain that you are an Edmodo referrer, and you acknowledge that your Edmodo profile name and profile picture may be shared with the referee.  

As long as you and your referee follow these Program Terms, if your referee uses your referral code to successfully create a new Edmodo account and meets the other eligibility requirements set forth above, you and your referee should receive Points in your Program Accounts.  In addition, if within the first month of your referee signing up for a new Edmodo account, he or she uses the Services to create a class in a verified school, adds all of the class’s students, uses the Services to post to the class and create assignments and quizzes, and has his or her students use the Services to complete such assignments and quizzes, you and your referee should receive additional Points in your Program Accounts.  Points from Referral Activities will be posted in your Program Account and your referee’s Program Account within a month of the completion of the Referral Activities. Points for Referral Activities are discretionary and the amount of Points and the requirements to get them can vary, and are subject to change at Edmodo’s sole discretion. Please note that although you can invite someone in a different city or state, you cannot invite anyone outside of the United States.

Edmodo reserves the right to determine if any referrals are not legitimate and to not grant Points or to take away Points previously granted if necessary.

How to Redeem Rewards Points

You may redeem accrued Rewards Points by accessing the Edmodo Rewards page and selecting a Chosen Reward which may include digital goods, physical goods and digital/physical give cards. You must have verified your email address with Edmodo for your Program Account in order to redeem your Rewards Points for Chosen Rewards. At this time, not all Chosen Rewards are available to all Program Members.

Edmodo may offer Chosen Rewards in exchange for a certain number of accrued Rewards Points. The Chosen Rewards available and the number of Rewards Points required for redemption of a Chosen Reward will be displayed in the Edmodo Rewards page and may vary at Edmodo’s sole discretion. Chosen Rewards are subject to change, substitution, or termination by Edmodo in its sole discretion at any time. Once you redeem Rewards Points for a Chosen Reward, you will receive an email to your verified email address with instructions on activating the Chosen Reward. Redemption of Rewards Points for a Chosen Reward that is a physical good will require you to provide your mailing address so that Edmodo or its agents may deliver such physical good to you. 

Redemption of Rewards Points for Chosen Rewards may be subject to additional terms and conditions, such as restrictions on use. See specific Chosen Reward offers in the Edmodo Rewards page for any additional terms and conditions. Edmodo’s offer of digital/physical gift cards as Chosen Rewards will be supported by its third party agent, Tango Card, and if you redeem Rewards Points for digital/physical gift cards, you agree that (a) Edmodo is not responsible for such digital/physical gift card redemption and you will look solely to Tango Card to resolve any issues with such digital/physical gift cards and (b) you agree to, and you will, be subject to Tango Card’s Terms of Service, which can be found at https://www.tangocard.com/terms-of-service.  The number of Rewards Points required to redeem Chosen Rewards may be modified by Edmodo at any time. Once Rewards Points are redeemed for a Chosen Reward, they cannot be returned to your Program Account. Your Total Points will not decrease upon your redemption of your Rewards Points.  To prevent fraud, suspicious activity, or for any other reason within Edmodo’s sole discretion, Edmodo may limit the number of redemptions you may perform in a single day or prevent you from redeeming Rewards Points. 

Program Membership Levels and Windows

All participants in the Program are “Program Members.” An Edmodo user who meets the eligibility requirements of the Program may sign up for the Program in the Edmodo website or app. By signing up, such Edmodo user becomes a Program Member. The Program offers three membership levels based upon the number of Total Points earned by a Program Member: Rising Star, Shooting Star, and VIP (“Membership Levels”). Membership Levels correspond with different Program Benefits (defined below). Each successive Membership Level includes its own benefits as well as the benefits of the preceding Membership Levels.

Edmodo determines membership levels by calculating Program Members and their student engagement activities in the Services. Advancement to the next Membership Level shall be determined by Edmodo in its sole discretion, and may differ between Program Members who are U.S. residents and those who are non-U.S. residents.

Program Benefits

Benefits for Program Members are privileges granted to Program Members differentiated by Membership Level (“Program Benefits”). Program Benefits are granted at the discretion of Edmodo, may change at any time, are not redeemable for Points and have no cash value. Program Benefit details, terms and limitations may be found in the Reward Program Benefit Terms, which are hereby incorporated into these Program Terms.

How To View Points Balances

You can view your current activity log, Points balances, rewards, and benefits within the Edmodo Rewards home located at https://new.edmodo.com/my_rewards. If you think your Points balance is incorrect, you must report your issue by contacting Edmodo as noted in the Contact Us section below. If Edmodo agrees that a correction is needed, it may take up to four weeks.

Point Expiration

Rewards Points are non-transferrable and expire (if not redeemed for a Chosen Reward) in monthly batches on a rolling 18-month basis, such that, for example, all Rewards Points earned in the month of January of 2020 will expire July 1, 2021 if not redeemed for a Chosen Reward. Total Points are non-transferrable and do not expire.

Account Termination

Participation in the Program is a privilege granted to Program Members, and as such can be suspended, revoked, or terminated at any time by us for any reason, including without limitation fraudulent activity or noncompliance with these Program Terms. If your Program Account is terminated, all Points associated with your Program Account and any Program Benefits will be forfeited immediately upon termination. If your Program Account is terminated due to fraudulent activity or noncompliance with these Program Terms, in addition to forfeiting all Points and Program Benefits associated with your Program Account immediately, you cannot participate in or rejoin the Program.

Program Changes and Termination

We reserve the right to change, pause or terminate the Program, or any part thereof including without limitation the Referral Program, at any time without notice and without further obligations to Program Members, including, but not limited to modifications which (a) govern how Points are earned on and after the date of change; (b) change the value of rewards; or (c) change the eligibility requirements to participate. No Points will be earned or redeemed after the effective date of termination. Any and all changes and/or amendments to these Program Terms will become binding upon all Program Members immediately.

Transfer of Rights

Edmodo’s rights and obligations under the Program may be assigned or transferred by Edmodo to any other related or unrelated entity at any time, and performances shall be the responsibility of that entity.

Interpretation of Program Terms

All interpretations of these Program Terms will be at Edmodo’s sole discretion, and Edmodo’s decisions will be final.

Disclaimer

The Program and/or any of its features may be unavailable, inaccurate or interrupted from time to time for a variety of reasons. We are not responsible for any unavailability, interruptions or errors of the Program or its features. Edmodo is not responsible for unauthorized use of Points. If your Program Account or Edmodo account is closed, you will lose all Points. Edmodo may from time to time request information from you to confirm your identity before it will allow use of your Points. Edmodo may delay your access to the Points until you comply with this information request. The Program and all the information accessible through it are provided for information purposes only on an “as is” and “as available” basis. We, our information providers and their agents make no warranties, representations, or guarantees of any kind, express or implied, including but not limited to, accuracy, currency, or completeness, the operation of the Program, the information, materials, content, availability, and products. All benefits and rewards made available under the Program, if any, are provided by Edmodo and do not modify the contractual relationships among or between Program Members, the individuals and entities that use the Services, and Edmodo or any Edmodo affiliates (including without limitation NetDragon), except as expressly set forth herein. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to, implied warranties of merchantability and fitness for a particular purpose.
